Terms and Conditions of Use for IzWho.com

Welcome to IzWho.com (the "Site"). These Terms and Conditions of Use (the "Terms") govern your access to and use of the Site and the services, features, content, applications, or widgets offered by IzWho.com (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy (available at [Insert Link to Your Privacy Policy]), and any additional terms and conditions that may apply to specific features or services. If you do not agree to these Terms, you may not access or use the Services. 

2. Description of Services

IzWho.com provides a platform that allows users to create a single, customizable link that can be used to share multiple other links (e.g., social media profiles, websites, content). Users can personalize their IzWho.com link page with various features as made available by IzWho.com.

3. User Accounts

  1. Account Creation: To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. 
  2. Account Security: You are responsible for safeguarding your account password and for all activities that occur under your account. You agree not to disclose your password to any third party and to notify IzWho.com immediately of any unauthorized use of your account. 
  3. Account Termination: IzWho.com reserves the right to suspend or terminate your account at any time, with or without cause and without notice to you. You may also terminate your account at any time.

4. User Content

  1. Your Content: The Services allow you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ("User Content"). You retain all rights in, and are solely responsible for, the User Content you make available through the Services. 
  2. License to IzWho.com: By making any User Content available through the Services, you hereby grant to IzWho.com a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, copy, modify, create derivative works based upon, distribute, publicly display, and publicly perform your User Content in connection with operating and providing the Services and our business, including for promotional and marketing purposes. 
  3. Representations and Warranties: You represent and warrant that: (i) you either are the sole and exclusive owner of all User Content or you have all rights, licenses, consents, releases, and permissions that are necessary to grant to IzWho.com the rights in such User Content as contemplated under these Terms; and (ii) neither the User Content nor your posting, uploading, publication, submission, or transmittal of the User Content or IzWho.com's use of the User Content (or any portion thereof) on, through, or by means of the Services will infringe, misappropriate, or violate a third party’s patent, copyright, trademark, trade secret, moral rights, or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation. 
  4. Prohibited Content: You agree not to post, link to, or otherwise make available any User Content that:
  5. Is unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd,, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent, or otherwise objectionable; 
  6. Would constitute, encourage, or provide instructions for a criminal offense, violate the rights of any party, or otherwise create liability or violate any local, state, national, or international law; 
  7. May infringe any patent, trademark, trade secret, copyright, or other intellectual or proprietary right of any party; 
  8. Impersonates any person or entity or otherwise misrepresents your affiliation with a person or entity;
  9. Contains any viruses, corrupted data, or other harmful, disruptive, or destructive files or code; 
  10. In IzWho.com's sole judgment, is objectionable or which may expose IzWho.com or its users to any harm or liability.
  11. Content Removal: IzWho.com reserves the right, but has no obligation, to monitor, remove, or modify User Content for any reason, including if IzWho.com believes that such User Content violates these Terms.

5. Prohibited Conduct

You agree not to:

  1. Use the Services in any way that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Services, or that could damage, disable, overburden, or impair the functioning of the Services in any manner. 
  2. Engage in any harassing, threatening, intimidating, predatory, or stalking conduct. 
  3. Use the Services to transmit or distribute spam, unsolicited or bulk commercial electronic communications, chain letters, or pyramid schemes.
  4. Attempt to circumvent any content filtering techniques we employ or attempt to access any service or area of the Services that you are not authorized to access. 
  5. Develop or use any third-party applications that interact with the Services without our prior written consent.
  6. Use any robot, spider, crawler, scraper, or other automated means or interface not provided by us to access the Services or to extract data. 
  7. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services or any part thereof. 
  8. Use the Services for any illegal or unauthorized purpose, or engage in, encourage, or promote any illegal activity or violation of these Terms. 
  9. Infringe upon or violate the intellectual property rights or any other rights of IzWho.com or any third party.
  10. Collect or harvest any personally identifiable information from other users of the Services without their express consent.
  11. Misrepresent your identity or affiliation with any person or organization.

6. Intellectual Property

  1. IzWho.com Content: The Services and all content contained therein, including but not limited to text, graphics, images, photographs, videos, illustrations, trademarks, trade names, service marks, logos, slogans, and other materials (collectively, the "IzWho.com Content"), are owned by or licensed to IzWho.com and are protected by copyright, trademark, patent, and other intellectual property laws. 
  2. Limited License: Subject to these Terms, IzWho.com grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and the IzWho.com Content solely for your personal, non-commercial use. You may not reproduce, modify, distribute, publicly display, publicly perform, or create derivative works of any IzWho.com Content without the express written permission of IzWho.com.
  3. Trademarks: "IzWho.com" and our logos, product or service names, slogans are trademarks of IzWho.com and may not be copied, imitated, or used, in whole or in part, without our prior written permission.

7. Third-Party Content and Links

The Services may contain links to third-party websites, applications, or services, and may display content from third parties (collectively, "Third-Party Content"). IzWho.com does not endorse or control any Third-Party Content and is not responsible for its availability, accuracy, completeness, or legality. Your interactions with Third-Party Content are solely between you and the third party, and are subject to the third party's terms and conditions and privacy policies. IzWho.com will not be responsible or liable for any loss or damage of any sort incurred as a result of any such interactions or as the result of the presence of such Third-Party Content on the Services. 

8. Disclaimer of Warranties

THE SERVICES AND THE IZWHO.COM CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. IZWHO.COM DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. IZWHO.COM DISCLAIMS ALL LIABILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICES, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY, AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES. 

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IZWHO.COM, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES, EVEN IF IZWHO.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL IZWHO.COM'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO IZWHO.COM, IF ANY, IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100). 

10. Indemnification

You agree to defend, indemnify, and hold harmless IzWho.com, its affiliates, and their respective directors, officers, employees, agents, suppliers, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to (a) your use of, or misuse of, the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of a third party, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right; or (e) any claim that your User Content caused damage to a third party. 

11. Governing Law and Jurisdiction

These Terms and your access to and use of the Services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. You agree that any legal suit, action, or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state and federal courts located in Los Angeles County, California, and you irrevocably submit to the personal jurisdiction of such courts. 

12. Modifications to the Terms

IzWho.com reserves the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on the Site or through other reasonable means. Your continued use of the Services after the posting of revised Terms constitutes your acceptance of the changes. You are expected to review these Terms periodically to ensure you are aware of any changes. 

13. Termination

IzWho.com may terminate these Terms or suspend or terminate your access to the Services at any time, with or without cause and without notice. Upon any termination, the provisions of Sections 4 (excluding the license grant), 6, 8, 9, 10, 11, and 14 shall survive.

14. Miscellaneous

  1. Entire Agreement: These Terms, together with the Privacy Policy and any other legal notices published by IzWho.com on the Services, constitute the entire agreement between you and IzWho.com concerning the Services and supersede all prior and contemporaneous communications, agreements, representations, and warranties, both oral and written.
  2. Waiver: No waiver of any provision of these Terms shall be effective except pursuant to a written instrument signed by a duly authorized representative of IzWho.com. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. 
  3. Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be reformed to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions of these Terms shall continue in full force and effect. 
  4. Assignment: You may not assign or transfer these Terms or your rights or obligations hereunder, in whole or in part, without IzWho.com's prior written consent. IzWho.com may assign or transfer these Terms, in whole or in part, without restriction.
